I will take the Disclosing Party best interest into consideration and understand this Information is not provided for free use. I will apply the same standard of care to the protection of the Information received as they use in the protection of their own Private Information, which shall be at least a reasonable standard of care; I will permit access to such Information on a need to know basis only to such of its directors, employees, consultants and agents (or in the case of an unincorporated entity, its principals) as is necessary for the Purpose provided that such individuals are bound by an existing obligation in terms no less onerous than these and are informed of the need to protect against disclosure of Information; (e) refrains from making copies of Information unless necessary for the Purpose or with the prior written consent of the Disclosing Party, in either case limiting the number of copies to the absolute minimum; (f) insures original copyright remains to any copies; (f) upon discovering the loss or unauthorized disclosure of Information received under this AGREEMENT, notify Disclosing Party (by email with receipt/confirmation, registered post, or by phone conversation) and takes all reasonable steps to retrieve, and prevent further unauthorized disclosure of, such Information.
 
 Exclusions from Information. Term private information does not include information that is:
publicly known at the time of disclosure or subsequently becomes publicly known through no fault of the Receiving Party;
discovered or created by the Receiving Party before disclosure by Disclosing Party;
learned by the Receiving Party through legitimate means other than from the Disclosing Party or Disclosing Party’s representatives;
is disclosed by Receiving Party with Disclosing Party’s prior written approval;
is independently developed by the Recipient without the benefit of any of the Confidential Information;
Phrases and titles of which technology is common and that could cover thousands of common ideas, where only ideas that are deemed to be proprietary information of the Disclosing Party as reasonably assessed will be considered private.

 Third party access   Receiving Party shall carefully restrict access to Confidential Information to employees, contractors, and third parties as is reasonably required and shall require those persons to sign nondisclosure restrictions at least as protective as those in this Agreement.

 Time Periods. I hope to have exhausted any means of use of this information by 31.12.18 and then openly publish. This agreement will remain until published or 8 years.
